End User License Agreement
PLEASE READ THIS AGREEMENT CAREFULLY BEFORE INSTALLING OR USING VAULTNX. BY INSTALLING, COPYING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE SOFTWARE AND CONTACT US FOR A REFUND WITHIN 14 DAYS OF PURCHASE.
1. Parties and Definitions
"Licensor" means VaultNX Security, the owner and developer of the Software. "Licensee" (also "you") means the individual or legal entity that has purchased a valid license. "Software" means the VaultNX desktop application, including all associated files, documentation, and updates provided under this Agreement. "License Key" means the unique alphanumeric key issued to you upon purchase that activates the Software. "Seat" means one installation of the Software running concurrently on one machine under one Windows user account.
2. Grant of License
Subject to the terms of this Agreement and payment of the applicable license fee, Licensor grants you a non-exclusive, non-transferable, non-sublicensable license to install and use the Software for your internal business or personal purposes, limited to the number of Seats covered by your license tier.
Single-user license — 1 Seat on machines under your exclusive control.
Team license (5–49 Seats) — up to the purchased number of concurrent Seats within a single organisation.
Enterprise license (50+ Seats) — up to the purchased number of concurrent Seats; may be deployed via software distribution tools (e.g., Group Policy, SCCM) within a single legal entity.
3. License Restrictions
You may not:
- Copy, distribute, sell, sublicense, rent, lease, or lend the Software or your License Key to any third party;
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law;
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Software;
- Use the Software to provide services to third parties (e.g., as a hosted service or bureau service) without a separate written agreement with Licensor;
- Use the Software in a manner that violates any applicable law or regulation.
4. License Key and Activation
The Software requires online activation against our license server at lic.vaultnx.com. Your License Key is tied to a hardware fingerprint generated from the machine on which it is activated. You may deactivate and reactivate the Software on a new machine up to 2 times per 12-month period without contacting support. Exceeding this limit requires a written request to support@vaultnx.com.
Sharing, publishing, or distributing your License Key is a material breach of this Agreement and will result in immediate termination.
5. Free Trial
A time-limited trial license may be issued at Licensor's discretion. Trial licenses are valid for 14 days from activation, are limited to 1 Seat, and may not be used for production data or commercial deployments. No more than one trial license will be issued per organisation. Upon trial expiry, you must purchase a commercial license or uninstall the Software.
6. Updates and Support
Active license holders are entitled to all Software updates released during their license period at no additional cost. Licensor provides best-effort email support via support@vaultnx.com. Licensor does not guarantee specific response times. Support for versions more than two major versions behind the current release may be limited.
7. Intellectual Property
The Software, including all source code, object code, algorithms, designs, documentation, and trade secrets, is and remains the exclusive intellectual property of Licensor. This Agreement does not transfer any ownership rights. All rights not expressly granted herein are reserved. The Software incorporates open-source components listed in the application's About window; those components are governed by their respective licenses (MIT, Apache 2.0) which are compatible with this commercial license.
8. Data and Privacy
Your use of the Software is also governed by our Privacy Policy, which is incorporated into this Agreement by reference. Licensor does not have access to the files you encrypt or the encryption keys derived from your master password. You are solely responsible for maintaining the security of your master password and your NAS credentials.
9. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL OPERATE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.
Nothing in this clause excludes liability that cannot be excluded under applicable consumer protection laws in Singapore, Malaysia, the Philippines, Indonesia, or Thailand.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THIS AGREEMENT, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
LICENSOR'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE IN THE 12 MONTHS PRECEDING THE CLAIM.
Some jurisdictions (including certain ASEAN member states) do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, Licensor's liability is limited to the minimum extent permitted by law.
11. Refund Policy
You may request a full refund within 14 calendar days of your original purchase date if the Software does not perform as described and you have provided Licensor a reasonable opportunity (at least 48 hours) to resolve the issue. Refund requests must be submitted to billing@vaultnx.com with your order reference. Refunds are not available for purchases older than 14 days or for license renewals already consumed.
12. Term and Termination
This Agreement is effective from the date of your first use or installation and continues until terminated. Licensor may terminate this Agreement immediately if you breach any material term. Upon termination, you must uninstall all copies of the Software and destroy any associated License Keys. Termination does not entitle you to a refund unless the termination results from Licensor's material breach. Sections 7, 9, 10, 13, 14, and 15 survive termination.
13. Export Compliance
The Software incorporates strong cryptography (AES-256 Authenticated Encryption, Advanced KDF). You are responsible for complying with all applicable export control laws and regulations in your jurisdiction. You represent that you are not located in, or a national of, any country subject to an international embargo that would prohibit the import or use of cryptographic software.
14. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any dispute arising from this Agreement shall first be subject to good-faith negotiation for 30 days. If unresolved, disputes shall be submitted to binding arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC), conducted in English, before a single arbitrator. Judgment on the arbitral award may be entered in any court of competent jurisdiction.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
15. General
Entire agreement. This Agreement, together with the Privacy Policy and any order confirmation, constitutes the entire agreement between the parties regarding the Software and supersedes all prior or contemporaneous representations, understandings, or agreements.
Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
No waiver. Failure to enforce any provision shall not constitute a waiver of the right to enforce it in the future.
Assignment. You may not assign this Agreement or any rights hereunder without Licensor's prior written consent. Licensor may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets.
Language. This Agreement is executed in English. In the event of any conflict between the English version and a translation, the English version shall prevail.
